1. Introduction
These General Terms and Conditions (“Terms”) govern all sales, services, and deliveries provided by Taggit Asset Technologies (Pty) Ltd (“we,” “us,” or “our”). By placing an order with us or engaging our services, the client (“you,” “your,” or “the Client”) agrees to be bound by these Terms.
2. Products and Services
- We provide software, hardware, RFID/barcode tags, and related services, including asset tagging, verification, audits, consulting, and training.
- Product specifications, features, and availability are subject to change without prior notice.
3. Quotations and Orders
- Quotations are valid for 30 days unless otherwise stated.
- Orders are only binding once confirmed in writing and payment has been received in accordance with Section 6 (Payment Terms).
- Any changes to an order after confirmation may result in additional costs and extended lead times.
4. Pricing and Currency
- All prices are quoted exclusive of VAT, unless otherwise stated.
- Prices are subject to adjustment for factors such as exchange rate fluctuations, inflationary increases, shipping costs, and supplier adjustments.
- Where applicable, shipping charges, customs duties, and insurance costs will be for the Client’s account.
5. Delivery and Risk
- Goods will be shipped via our approved couriers under the terms of our Shipping Policy.
- Risk of loss or damage transfers to the Client upon dispatch of goods.
- Delivery times provided are estimates only and may vary.
6. Payment Terms
General Payments:
- All payments are due in advance, unless a 30-day payment term has been specifically agreed to in writing.
Asset Management Projects:
- 50% payable in advance (before commencement of work).
- 25% payable on delivery of software, hardware, and tags (the product).
- 25% payable on final project sign-off.
Additional Terms:
- Payments must be made into the bank account specified on our invoices.
- Late payments may attract interest at the maximum rate allowed by the National Credit Act.
- Goods and services remain the property of Taggit Asset Technologies until full payment has been received.
7. Cancellations and Refunds
- Orders cancelled after confirmation may be subject to cancellation fees.
- Software licenses and customised tags are non-refundable once issued or produced.
- Refunds (where applicable) will be processed within 30 days of approval.
8. Warranties and Support
- Hardware and tags supplied carry the manufacturer’s warranty only.
- Software is licensed under the applicable end-user license agreement (EULA).
- We will provide reasonable support and training as per the Software Maintenance Agreement (SMA) of each software solution sold.
9. Limitation of Liability
- Our liability is limited to the replacement of defective goods or the value of the contract, whichever is lower.
- We will not be held liable for indirect, consequential, or incidental damages, including but not limited to loss of profit, business interruption, or data loss.
10. Intellectual Property
- All intellectual property, including software, documentation, and training materials, remains the property of Taggit Asset Technologies or its licensors.
- The Client receives a non-transferable license to use the software in accordance with the license terms.
11. Confidentiality
- Both parties agree to keep all non-public, proprietary information confidential, unless disclosure is required by law.
12. Data Protection
- We are committed to protecting personal information in accordance with the Protection of Personal Information Act (POPIA).

13. Governing Law and Jurisdiction
- These Terms shall be governed by the laws of the Republic of South Africa.
- Any disputes will be subject to the jurisdiction of the South African courts.
14. Amendments
- We reserve the right to amend these Terms at any time without prior notice.
- The most current version will always be published on our website and will apply to all subsequent transactions.
